These "Terms of Use" (referred to as the "Terms") establish a legally binding agreement between you and Curated Bid, LLC (referred to as "Curated Bid," "we," or "us"). By engaging with our Services in any capacity, you signify your agreement with these Terms, which shall govern your use of the Services throughout its duration. It's important to understand that these Terms encompass the stipulations contained in this document and those found in our Privacy Policy.
We urge you to dedicate sufficient time to a thorough review of these Terms, as they encompass important information concerning the Services we offer. Within these Terms, you'll discover details regarding prospective alterations to the Terms, limitations on our liability, a waiver of class action lawsuits, and the resolution of disputes through arbitration rather than traditional litigation. IT IS IMPORTANT TO UNDERSTAND THAT YOUR ACCESS TO AND UTILIZATION OF OUR SERVICES ARE CONTINGENT UPON YOUR COMPLIANCE WITH THE FOLLOWING TERMS. IF YOU DISAGREE WITH ANY ASPECT OF THESE TERMS, YOU MUST REFRAIN FROM UTILIZING OR ACCESSING OUR SERVICES IN ANY CAPACITY.
ATTENTION: ARBITRATION NOTIFICATION AND CLASS ACTION WAIVER - WITH THE EXCEPTION OF CERTAIN SPECIFIED DISPUTES AS SET FORTH IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU HEREBY AGREE TO THE ADJUDICATION OF DISPUTES BETWEEN YOU AND US THROUGH BINDING, INDIVIDUAL ARBITRATION. FURTHERMORE, YOU FORFEIT YOUR ENTITLEMENT TO ENGAGE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.
Connecting Parties Selling Vehicles and Those Buying Vehicles
Curated Bid functions as the intermediary connecting parties offering vehicles for sale, known as "Sellers," with parties in pursuit of vehicles, referred to as "Bidders." Our Services serve as a virtual rendezvous point, facilitating the process of vehicle transactions. It's crucial to acknowledge that the actual sales contract for each vehicle listed on our platform is exclusively negotiated between the Seller and the winning Bidder.
In the context of these Terms, when we employ the term "you," it encompasses all users, regardless of whether they assume the role of a Seller, Bidder, registered user, or unregistered user. However, when we make use of specific designations such as "Seller" or "Bidder," they are intended exclusively for users who fall within those respective categories.
Before procuring a vehicle from any Seller, commonly referred to as a "Seller Vehicle," Bidders bear the responsibility of independently evaluating the suitability of the Seller Vehicle for their needs. Curated Bid's role is limited to facilitating connections between Sellers and Bidders; we do not assume responsibility for ensuring that any Seller Vehicle meets specified quality standards. Furthermore, Curated Bid disclaims any responsibility for verifying the accuracy or currency of information, including credentials, provided by any Bidder or Seller. Each Seller commits to making reasonable efforts to complete the sale of their Seller Vehicle in the event of a successful bid. In situations where a Bidder secures the winning bid in an auction through our Services, they are bound by their bid and assume responsibility for all applicable government fees and taxes related to the acquired vehicle. It's imperative to bear in mind that we do not exercise control over the actions of Bidders or Sellers, as Sellers and Bidders are not affiliated with our organization.
Curated Bid DOES NOT DIRECTLY FACILITATE THE SALE OF SELLER CARS. YOU HEREBY ACKNOWLEDGE THAT Curated Bid DOES NOT SUPERVISE, DIRECT, CONTROL, OR MONITOR SELLER CARS AND EXPRESSLY DISCLAIMS ANY LIABILITY OR RESPONSIBILITY FOR SELLER CARS. THIS DISCLAIMER INCLUDES ANY WARRANTIES OR CONDITIONS REGARDING QUALITY, SUITABILITY FOR A SPECIFIC PURPOSE, OR ADHERENCE TO APPLICABLE LAWS, REGULATIONS, OR CODES.
Sellers are prohibited from withdrawing a vehicle listed for auction on our platform before the conclusion of the auction. While a Seller Vehicle is showcased on our Services, Sellers are restricted from listing or making the same Seller Vehicle available on any other auction, dealership, listing service, classifieds ad platform, or publication.
Using Curated Bid
Engaging with Curated Bid may necessitate the creation of an account, the selection of a password, and the assignment of a user name, herein referred to as a "Curated Bid User ID." Furthermore, we may require specific information or data, including your contact details. You affirm your commitment to supplying us with accurate, comprehensive, and up-to-date registration particulars.
When selecting your Curated Bid User ID, you undertake not to appropriate a name you lack the right to employ or assume the identity of another individual with the intention of impersonation. The transfer of your account to another party is strictly prohibited without our prior written consent.
You assert and warrant that you are of legal age to enter into a binding contract, or if not, that you have secured the requisite consent from your parent or guardian to utilize the Services and have procured their agreement to these Terms on your behalf. In instances where you accept these Terms on behalf of an organization or entity, you assert and warrant that you possess the authority to bind said organization or entity to these Terms. In such cases, the references to "you" and "your" in these Terms, with the exception of this sentence, pertain to the organization or entity in question.
The utilization of the Services is sanctioned solely for your personal, internal use and not on behalf of or for the advantage of any third party. You pledge to comply with all applicable laws that pertain to your use of the Services and all actions or omissions in connection with the Services. For instance, Sellers must adhere to all laws related to the Seller Vehicles. If your use of the Services contravenes applicable laws, you are not authorized to use the Services. Please be mindful that we disavow any responsibility for your usage of the Services in contravention of the law.
You are prohibited from disclosing your Curated Bid User ID, account, or password to any third party and are obligated to safeguard the security of your Curated Bid User ID, account, password, and any additional access tools or credentials. You bear full responsibility for any activities associated with your Curated Bid User ID and account.
Correspondence
As an integral aspect of the Services, you may receive communications through the Services, inclusive of messages dispatched by Curated Bid (for instance, via email). Upon registration for the Services, you will receive a welcome message alongside instructions on how to stop receiving specific marketing communications if you want.
Restrictions
You affirm, guarantee, and consent that you shall refrain from contributing any Content or User Submission (as delineated below) or employing the Services or engaging with the Services in a manner that:
(a) infringes or encroaches upon the intellectual property rights or any other rights of any entity, including Curated Bid;
(b) breaches any statutory or regulatory provisions, encompassing, without limitation, any pertinent export control regulations, privacy statutes, or any other purpose that is not reasonably in alignment with Curated Bid's intent;
(c) constitutes a hazard, detriment, or is otherwise deceitful, fraudulent, misleading, menacing, harassing, libelous, obscene, or otherwise offensive (inclusive of, but not limited to, the creation of multiple accounts for the purpose of manipulating or gaming the bidding system);
(d) jeopardizes the security of your Curated Bid User ID, account, or that of any other entity (such as permitting another individual to access the Services on your behalf);
(e) attempts, in any form or manner, to procure the password, account, or any other security credentials or information from any other user;
(f) breaches the security of any computer network or compromises password protections or security encryption codes;
(g) operates Maillist, Listserv, any variant of an auto-responder, or "spam" on the Services, or engages in any processes that are initiated or run while you are not actively logged into the Services, or that in any way disrupt the regular functioning of the Services (including imposing an undue burden on the Services' infrastructure);
(h) "crawls," "scrapes," or "spiders" any page, data, or segment associated with or relating to the Services or Content (whether through manual or automated means);
(i) copies or stores a significant portion of the Content; or
(j) decompiles, reverse engineers, or attempts to procure the source code or fundamental concepts or information pertaining to the Services in any manner.
Violation of any of the aforementioned stipulations serves as grounds for the termination of your entitlement to employ or access the Services.
Information on the site
You are prohibited from accumulating any information from or connected to another user ("User Information"), whether acquired through the Services, during the course of offering or bidding on Seller Vehicles, or by any other means, beyond what is requisite for conducting due diligence and completing the auction transaction. Following the culmination of an auction, you are obliged to appropriately delete all User Information pertaining to such user and refrain from any further utilization thereof. All actions concerning User Information must conform to the stipulations of all applicable laws.
Your Rights
The materials exhibited, executed, or attainable on or via the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, User Submissions (as elucidated below), and other such elements (collectively referred to as the "Content"), are safeguarded by copyright and/or other intellectual property statutes. You pledge to adhere to all copyright notifications, trademark regulations, data, and constraints found within any Content you access through the Services. You shall not employ, duplicate, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, exhibit, license, vend, commercialize, or otherwise exploit any Content not under your ownership, (i) without obtaining the prior consent of the rightful owner of said Content or (ii) in a manner that contravenes the rights of others (including Curated Bid).
Subject to these Terms, we extend to each user of the Services a worldwide, non-exclusive, non-sublicensable, and non-transferable license for the use (i.e., downloading and local display) of Content exclusively for the purpose of utilizing the Services. Utilization, reproduction, modification, distribution, or storage of any Content for purposes beyond the utilization of the Services is expressly prohibited unless prior written permission is granted by us. You understand that Curated Bid retains ownership of the Services. You shall not modify, publish, transmit, partake in the transfer or sale of, reproduce (excluding as expressly permitted in this Section), generate derivative works derived from, or otherwise exploit any facet of the Services. The Services may offer functions that permit you to copy or download specific Content; nonetheless, it is imperative to bear in mind that even when such functionalities exist, all constraints set forth in this section are still applicable.
User Submissions
Any material you post, upload, share, store, or otherwise provide through the Services constitutes your "User Submission." Some User Submissions may be viewable by other users. You assume sole responsibility for all User Submissions you contribute to the Services. You assert that all User Submissions submitted by you are accurate, comprehensive, current, and in compliance with all pertinent laws, statutes, and regulations.
You consent not to post, upload, share, store, or otherwise provide through the Services any User Submissions that: (i) infringe upon any third party's copyrights or other rights (e.g., trademark, privacy rights, etc.); (ii) contain sexually explicit content or pornography; (iii) feature content that is hateful, defamatory, or discriminatory, or that incites hatred against any individual or group; (iv)depict unlawful acts or extreme violence; (v) exploit minors; (vi) depict cruelty to animals or severe violence directed toward animals; (vii) promote fraudulent schemes, multi-level marketing (MLM) schemes, get-rich-quick schemes, online gaming and gambling, cash gifting, work-from-home businesses, or any other dubious money-making endeavors; or (viii) violate any law.
Licensing Arrangements
To facilitate the presentation of your User Submissions on the Services, and to enable other users to derive enjoyment from them (where pertinent), you confer upon us specific rights pertaining to those User Submissions (refer to the subsequent details). It is important to acknowledge that all the ensuing licenses are contingent upon our Privacy Policy to the extent that they pertain to User Submissions that also constitute your personally-identifiable information.
By furnishing User Submissions via the Services, you hereby and shall continue to grant Curated Bid an internationally applicable, non-exclusive, continuous, royalty-free, fully remunerated, sublicensable, and transferable license. This license encompasses the utilization, editing, alteration, truncation, compilation, reproduction, distribution, preparation of derivative works, exhibition, execution, and comprehensive exploitation of the User Submissions in conjunction with this site, the Services, and our (as well as our successors' and assigns') business pursuits. This encompasses but is not restricted to the promotion and redistribution of all or part of this site or the Services (along with derivative works thereof) across any media formats and through any media outlets (comprising third-party websites and feeds). These rights persist even after the termination of your account or your use of the Services.
Additionally, you hereby and shall continue to grant each user of this site and/or the Services a non-exclusive, ceaseless license. This license encompasses access to your User Submissions via this site and/or the Services, as well as the right to employ, edit, modify, reproduce, distribute, prepare derivative works of, display, and execute such User Submissions. These rights also persist post-termination of your account or your use of the Services. It's essential to clarify that the above mentioned license grants to us and our users do not infringe upon your other ownership or licensing rights in connection with your User Submissions. This includes the capacity to grant supplementary licenses for your User Submissions, unless explicitly specified in writing.
You assert and guarantee that you possess all the necessary rights to confer these licenses to us, without violating or infringing upon any third-party rights, including but not limited to privacy rights, publicity rights, copyrights, trademarks, contractual rights, or any other intellectual property or proprietary rights.
Modifications to User Submissions
Lastly, you comprehend and consent that, as part of our obligation to provide the Services to our users (including yourself), Curated Bid may be compelled to effect alterations to your User Submissions. These alterations may be necessary to ensure conformity and adaptation of the User Submissions to the technical prerequisites of connection networks, devices, services, or media. It's essential to underline that the licenses described above encompass the rights to make such alterations.
Responsibility for Content and Actions on the Services
Any information or Content that is publicly posted or privately transmitted through the Services is the sole responsibility of the individual or entity from whom such Content originates. You access all such information and Content at your own risk, and we bear no liability for any errors or omissions in such information or Content, or for any damages or losses you may incur in connection with it.
We have no control over, and are not responsible for, how you may interpret or use the Content or any actions you may take as a result of exposure to the Content. Consequently, you release us from any and all liability related to your acquisition or non-acquisition of Content through the Services.
We cannot guarantee the identity of any users you interact with while using the Services and are not responsible for granting access to the Services to specific users.
You are accountable for all Content you contribute to the Services in any manner, and you confirm that you possess all necessary rights to do so in the manner you contribute to it.
The Services may provide links or connections to third-party websites or services not owned or controlled by Curated Bid. When using third-party websites or services, you acknowledge the associated risks and that Curated Bid is not responsible for these risks.
Curated Bid does not exercise control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices, or opinions expressed on any third-party websites or by any third party you interact with via the Services. Furthermore, Curated Bid does not and cannot monitor, verify, censor, or edit the content of any third-party site or service.
We encourage you to exercise caution when leaving the Services and to review the terms, conditions, and privacy policies of each third-party website or service you visit or utilize. By using the Services, you release and absolve us from any and all liability arising from your use of any third-party website or service.
Dispute Resolution
In the event of a dispute involving participants on this site or Services, or disputes between users and third parties, you acknowledge that Curated Bid is not obligated to intervene. If you engage in a dispute with one or more other users, you release Curated Bid, its directors, officers, employees, agents, and successors from any claims, demands, and damages, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or related to such disputes and/or our Services.
You expressly waive California Civil Code Section 1542 or any similar law of any jurisdiction, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
Service Fees
Registration for the Services is free, but certain features may necessitate payment of fees. If you opt to use these paid features, you are bound by the Fees Terms outlined below, which we may update periodically.
We retain the right to impose charges for some or all of the Services in the future. Prior to the introduction of fees for any Services you are using, we will provide notice. If you wish to continue using those Services, you must pay all applicable fees.
All fees and relevant taxes associated with our Services must be paid by the due date, including any fees incurred through third-party payment processors, such as Stripe. Stripe’s terms of service can be found at https://stripe.com/legal.
Fees
Listing Fees
Currently, there are no Seller listing fees for listing a Seller Vehicle on the Services.
Buyer Fees
If you win a bid for a car listed on the Services, you are required to pay a fee, referred to as a "Buyer’s Fee," which amounts to 5% of the winning bid amount as listed on the Services. However, it's important to note that for each winning bid on the Services, the minimum Buyer’s Fee is $250, and the maximum Buyer’s Fee is $7,500. All Buyer’s Fees are non-refundable.
When you place a bid on the Services, a hold will be placed on your credit card equal to 5% of your bid amount, with a minimum of $250 and a maximum of $7,500. After the auction concludes, all such holds will be removed, except for the hold on the winning Bidder’s credit card, which will be charged as payment for the Buyer’s Fee immediately after the auction listing ends.
Seller Payments
Within ninety (90) days after an auction concludes, Sellers must provide Vehicles & Bids with the necessary information to process payments to the Seller under the Services. This information may include PayPal or bank account information and a current IRS Form W-9. Failure to comply with this requirement means Vehicles & Bids will not be liable for any outstanding payment obligations owed to the Seller at that time.
Account Termination and Data Handling
If you wish to stop using the Services, you can do so at any time by contacting Curated Bid at legal@curatedbid.com. Please consult the Privacy Policy and the licenses mentioned above to understand how your information is handled after discontinuing the use of the Services.
Curated Bid also reserves the right to terminate or suspend your access to the Services or your account for any reason, including violations of these Terms. Curated Bid has the sole discretion to determine whether you are in breach of any restrictions outlined in these Terms. In such cases, a User who believes another User may be in violation of these Terms cannot enforce these Terms.
Account termination may result in the deletion of any associated Content, so be mindful of this before deciding to terminate your account. If you have accidentally deleted your account, contact Curated Bid immediately at legal@curatedbid.com, and while they will make efforts to assist, they cannot guarantee the recovery or restoration of any data.
Certain provisions that, by their nature, should survive the termination of these Terms will indeed survive, including obligations to pay or indemnify, limitations on liability, terms regarding ownership of intellectual property rights, and provisions concerning disputes, including the arbitration agreement.
Other Important Information
Warranty Disclaimer
Curated Bid, along with its licensors, suppliers, partners, parent companies, subsidiaries, affiliated entities, officers, directors, members, employees, consultants, contract employees, representatives, and agents, make no representations or warranties regarding the Services, including but not limited to the accuracy, copyright compliance, legality, or decency of materials contained in or accessed through the Services. They will not be held responsible or liable for any claims, actions, suits, procedures, costs, expenses, damages, or liabilities arising from the use of, or in connection with, your participation in the Services. The Curated Bid Parties also make no representations or warranties about services or products recommended or suggested through or in connection with the Services, including Seller Vehicles. Services or products obtained through the Services, whether or not based on such recommendations and suggestions, are provided on an "AS-IS" basis and without any warranty of any kind, except as expressly provided in writing by a designated third party for a specific product. The Services and Content are provided "AS-IS" by Curated Bid (and its licensors and suppliers), without any warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the use of the Services will be uninterrupted or error-free.
Limitation of Liability
To the fullest extent permitted by applicable law, under no circumstances and under no legal theory (including, without limitation, tort, contract, strict liability, or otherwise) shall any of the Curated Bid Parties be liable to you or any other person for:
(a) Any indirect, special, incidental, punitive, or consequential damages of any kind, including damages for lost profits, business interruption, loss of data, loss of goodwill, work stoppage, accuracy of results, or computer failure or malfunction.
(b) Any substitute goods, services, or technology.
(c) Any amount, in the aggregate, in excess of the greater of (i) one hundred ($100) dollars or (ii) the amounts paid and/or payable by you to Curated Bid in connection with the Services in the twelve (12) month period preceding the applicable claim.
(d) Any matter beyond Curated Bid's reasonable control.
However, some states do not allow limitations on how long an implied warranty lasts, so the above limitations may not apply to you.
Indemnity
You agree to indemnify and hold the Curated Bid Parties harmless from and against any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys’ fees) arising from or related to any claims regarding:
(a) Your use of the Services, including any actions taken by a third party using your account.
(b) Your violation of these Terms.
In the event of such a claim, we will attempt to provide notice of the claim to the contact information associated with your account, but failure to deliver such notice will not relieve you of your obligations.
Assignment
You may not assign, delegate, or transfer these Terms or your rights or obligations under them, or your Services account, without prior written consent from Curated Bid. Curated Bid may transfer, assign, or delegate these Terms and its rights and obligations without requiring your consent.
Choice of Law
These Terms are governed by and will be interpreted under the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to conflict of laws provisions.
Arbitration Agreement
Please read the following ARBITRATION AGREEMENT carefully because it requires arbitration of certain disputes and claims with Curated Bid, limiting your ability to seek relief from Curated Bid through litigation.
(a) Arbitration Rules; Applicability of Arbitration Agreement:
Parties will attempt to settle any dispute, claim, question, or disagreement through good-faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration in San Mateo County, California, using the JAMS Streamlined Arbitration Rules and Procedures. The arbitrator, experienced in resolving intellectual property and commercial contract disputes, will be chosen from the appropriate list of JAMS arbitrators. The arbitrator's award may be entered in any court of competent jurisdiction.
(b) Costs of Arbitration:
Arbitration fees will be governed by the Rules. For claims less than $75,000, Curated Bid will pay all arbitration fees. Curated Bid will not seek attorneys’ fees and costs in arbitration unless the arbitrator deems your claim frivolous.
(c) Small Claims Court; Infringement:

Addressing Copyright Infringement
In observance of the Digital Millennium Copyright Act (DMCA), we have implemented the ensuing policy in response to copyright infringement. We uphold the right to:
(1) Restrict access to or remove content that we possess good faith belief to be copyrighted material illicitly duplicated and disseminated by any of our advertisers, affiliates, content providers, members, or users.
(2) Revoke and discontinue service to members or users that violate the policy.
Procedure for Reporting Copyright Infringements
If you believe that material or content existing on or accessible through the Services infringes upon your copyright (or the copyright of someone you are authorized to represent), kindly transmit a notice of copyright infringement. This notice should encompass the following particulars and must be directed to Curated Bid's Designated Agent for Receiving Claims of Infringement (referred to as our "Designated Agent," whose contact details are presented below):
(a) A physical or electronic signature of an individual authorized to act on behalf of the copyright holder allegedly infringed upon.
(b) Identification of the works or materials subject to infringement.
(c) Precise identification of the infringing material, inclusive of information regarding its location, with sufficient detail to enable us to locate and verify its existence.
(d) Contact information for the notifier, comprising their address, telephone number, and, if available, email address.
(e) A statement from the notifier affirming in good faith that the material identified in (1)(c) is not authorized by the copyright holder, their agent, or the law, and that the notifier bears the authority to file the complaint on behalf of the copyright holder.
(f) A statement provided under the penalty of perjury, attesting to the accuracy of the information furnished, and verifying that the notifying party is authorized to submit the complaint on behalf of the copyright holder.
Response to Proper Bona Fide Infringement Notification
Upon receipt of a valid notice of copyright infringement, we reserve the right to:
(a) Eliminate or disable access to the infringing material.
(b) Notify the content provider implicated in the infringement complaint that access to the corresponding material has been restricted or disabled.
(c) Suspend the access of such content provider to the Services in the event of repeated violations.
Counter-Notification Process
If the content provider believes that the material previously removed (or for which access was disabled) does not infringe upon copyrights, or if the content provider believes they possess the right to post and utilize such material, either as the copyright holder, their agent, or in accordance with the law, the content provider may send a counter-notice containing the following details to the Designated Agent:
(a) A physical or electronic signature of the content provider.
(b) Identification of the material that was removed or for which access was disabled, along with the location where the material was available before its removal or disabling.
(c) A statement affirming the content provider's good faith belief that the material was removed or disabled due to a mistake or misidentification.
(d) Contact information for the content provider, including name, address, telephone number, and, if available, email address. Additionally, a statement indicating the content provider's consent to the jurisdiction of the Federal Court for the judicial district where their address is situated, or if the content provider resides outside the United States, for any judicial district where Company is located. The content provider must also agree to accept service of process from the individual who submitted the copyright infringement notification.
Upon receipt of a counter-notice, Company may, at its discretion, transmit a copy of the counter-notice to the original complaining party. The original complaining party is then informed that the Company may reinstate the removed material or cease disabling access to it within 10 business days. Unless the copyright owner initiates legal proceedings to obtain a court order against the content provider accused of infringement, Company may choose to replace the removed material or restore access to it within 10 to 14 business days or more following receipt of the counter-notice, as determined by Company.
